Welcome to Guildhall, a product of Loach Studio LLC, a Pennsylvania Limited Liability Company ("Loach Studio," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of Guildhall, including the website currently located at https://guildhall.loach.studio (the "Site"), and any related services, subdomains, applications, event listings, messaging tools, integrations, or features operated by Loach Studio LLC (collectively, "Guildhall").

By accessing or using Guildhall, you agree to be bound by these Terms. If you do not agree, you may not use the Site.

Use of Guildhall is also governed by our Privacy Policy, which is incorporated by reference into these Terms.


1. Nature of the Service

Guildhall is a platform designed to help tabletop roleplaying game (TTRPG) players, board game enthusiasts, and gaming venues connect and organize events.

Guildhall may provide tools for:

  • Messaging other users
  • Organizing in-person events
  • Managing memberships or event listings
  • Syncing third-party calendars

Guildhall is a connection platform only. We do not organize, supervise, host, monitor, insure, or control in-person gaming sessions unless explicitly stated.

All interactions, meetings, and events arranged through Guildhall occur at your own discretion and risk.


2. Eligibility

You must be at least 18 years old to create an account unless explicitly permitted with verifiable parental or guardian consent.

By using Guildhall, you represent and warrant that:

  • You are legally able to enter into a binding agreement.
  • All information you provide is accurate and truthful.
  • You will comply with all applicable local, state, and federal laws.

Guildhall does not supervise minors or verify parental consent. Parents and legal guardians are solely responsible for minor participation in any event.


3. User Accounts

You may be required to create an account to access certain features.

You agree to:

  • Maintain the confidentiality of your login credentials.
  • Be responsible for all activity under your account.
  • Notify us immediately of unauthorized use.

We reserve the right to suspend or terminate accounts at our sole discretion.


4. Acceptable Use

5. In-Person Meetings and Safety Disclaimer

Guildhall connects individuals for in-person gaming sessions.

We do not:

  • Conduct background checks
  • Verify user identity
  • Supervise events
  • Provide insurance coverage
  • Guarantee safety or reliability

You are solely responsible for:

  • Choosing meeting locations
  • Evaluating participant suitability
  • Taking appropriate safety precautions

Loach Studio LLC is not responsible for injury, loss, disputes, misconduct, property damage, or other incidents arising from user interactions.


6. Event Listings and Hosting

Users and venues may create event listings.

By creating a listing, you represent that:

  • You have the legal right to host the event.
  • The event complies with venue rules and laws.
  • Information provided is accurate.

Guildhall is not a party to agreements between users and does not mediate disputes.

For store-hosted events, Guildhall is not responsible for:

  • Venue insurance
  • Capacity limits
  • Fire code compliance
  • Youth supervision policies
  • Event cancellations

7. Calendar Sync & Third-Party Data

Guildhall may allow integration with third-party calendars (including ICS feeds).

We do not guarantee:

  • Accuracy of synced event data
  • Continuous availability of integrations
  • Timely updates

You are responsible for verifying event details.


8. Memberships and Payments

Guildhall may offer paid memberships or premium features.

Payments are processed through third-party providers such as Stripe.

By initiating payment, you authorize recurring charges according to your selected billing cycle.

Unless required by law:

  • Payments are non-refundable.
  • Subscription fees are billed in advance.
  • Cancellation stops future billing but does not retroactively refund prior charges.

You are responsible for applicable taxes.

Chargebacks or fraudulent disputes may result in immediate suspension. We reserve the right to recover associated fees.

We may modify pricing with reasonable notice.


9. Intellectual Property

All Guildhall platform content (design, logos, graphics, software, layout, written materials) is the property of Loach Studio LLC and protected by intellectual property laws.

You may not reproduce or distribute our content without permission.

User-Generated Content

You retain ownership of content you submit.

You represent that you have rights to upload such content.

By submitting content, you grant Loach Studio LLC a non-exclusive, worldwide, royalty-free, transferable, sublicensable, irrevocable, and perpetual license to host, store, reproduce, modify, adapt, publish, display, distribute, and use the content in connection with Guildhall.

We reserve the right to remove infringing content.

Copyright Complaints (DMCA)

If you believe content infringes your copyright, you may submit a written notice including:

  • Identification of the copyrighted work
  • Identification of infringing material
  • Contact information
  • A statement of good faith belief
  • A statement under penalty of perjury

10. AI Features

Guildhall may use AI tools to improve moderation, recommendations, and functionality.

AI-assisted content is provided "as is."
To the fullest extent permitted by law, AI-generated content created by Guildhall is owned by Loach Studio LLC.


11. Third-Party Services

Guildhall integrates with third-party providers including:

  • Stripe (payments)
  • Hosting providers
  • Analytics providers
  • Publishing tools

We are not responsible for their policies or availability.


12. Termination

We may suspend or terminate your access at any time if you:

  • Violate these Terms
  • Engage in fraud
  • Harm other users
  • Misuse the platform

Termination may occur without notice.


13. Disclaimers

Guildhall is provided "as is" without warranties of any kind.

We make no guarantees regarding:

  • Event success
  • User conduct
  • Match quality
  • Platform uptime
  • Data accuracy

Use of Guildhall is at your own risk.


14. Limitation of Liability

To the fullest extent permitted by law, Loach Studio LLC shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or data
  • Personal injury
  • Property damage
  • Disputes between users

Your sole remedy is discontinuation of use.


15. Indemnification

You agree to indemnify, defend, and hold harmless Loach Studio LLC and its members, officers, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of Guildhall
  • Your content
  • Your events
  • Your violation of these Terms
  • Your violation of applicable laws

16. Force Majeure

We are not liable for delays or failure of performance due to causes beyond our reasonable control, including natural disasters, outages, acts of government, internet disruptions, or third-party service failures.


17. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.


18. Arbitration & Class Action Waiver

Any dispute arising out of or relating to these Terms or your use of Guildhall shall be resolved through binding arbitration in Pennsylvania under the rules of the American Arbitration Association.

You agree:

  • To waive any right to a jury trial.
  • To waive participation in class actions or class arbitrations.

Arbitration shall be conducted on an individual basis only.
